This would depend on whether the Consumer Protection Act is applicable or not.

The Consumer Protection Act is not applicable when the agreement is between two juristic persons, such as companies and trusts. If you have a commercial lease agreement, i.e. you are a company leasing from another company, your landlord is entitled to claim the amount that he would have been entitled for the remainder of the lease period.

Residential Lease Agreements are subject to the Consumer Protection Act. Landlords are entitled to charge a reasonable cancellation penalty fee if your lease agreement is for a fixed-term (not exceeding 24 months). A reasonable cancellation penalty will in most cases be subject to the cancellation notice period, but in certain circumstances, it could exceed the notice period.

In terms of the Protection of Personal Information Act, 4 of 2013 (POPIA) companies are not entitled to engage in direct marketing without the express consent of the party. However, unfortunately, calling is not defined as direct marketing. Companies will therefore be able to call you if they have access to your contact information from any database. If you inform them to remove you from their database, they will not be able to call you.

Once a director has resigned, the status must be updated with CIPC, which is done online, but you must register as a user. CIPC has a new system whereby OTP’s are sent to administer the change. You may be asked to provide supporting documentation, which includes the resolution signed by the directors.

If you feel that a director is not performing their duties, you may by ordinary resolution at a shareholders meeting remove a director, but there are conditions to this that should first be met.
